1. Acceptance of these terms
These Terms and Conditions (āTermsā) govern your access to and use of KonektOneās website and platform (the āServiceā). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, please do not use the Service.
2. What KonektOne provides
KonektOne is a software platform that helps businesses send WhatsApp marketing and notification messages, automate replies, manage customer conversations and view campaign reports. KonektOne is a tool. You decide who you message and what you send.
3. Your account
- You must be at least 18 years old and able to enter into a binding contract.
- You must give accurate business and contact information and keep it up to date.
- You are responsible for all activity under your account and for keeping your login details secure.
- Tell us promptly if you suspect unauthorised access.
4. WhatsApp and Meta requirements
The Service works with the WhatsApp Business Platform, which is operated by Meta. By using the Service you agree to follow the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and any other rules Meta publishes from time to time.
We do not control Metaās decisions. Meta may approve, reject or limit phone numbers, message templates, display names and messaging volumes, or suspend accounts. We are not responsible for those decisions or for any resulting loss.
5. Consent and lawful messaging
You are solely responsible for the messages you send and for having a lawful basis to send them. In particular, you must:
- Send marketing messages only to people who have given clear opt-in consent to receive them on WhatsApp, and keep records of that consent.
- Honour opt-out requests promptly and stop messaging anyone who asks you to stop.
- Comply with all laws that apply to your messaging, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023 and any consumer protection or telecom rules.
6. Acceptable use
You must not use the Service to:
- Send spam, unsolicited messages or messages to purchased or scraped contact lists.
- Send content that is illegal, misleading, fraudulent, defamatory, harassing, hateful or sexually explicit.
- Promote products or services that WhatsAppās policies prohibit or restrict.
- Distribute malware, or attempt to disrupt, probe or gain unauthorised access to the Service or its infrastructure.
- Copy, reverse engineer or resell the Service without our written permission.
7. Fees and payment
Some features require a paid plan. Fees are shown on your order form or plan page. In addition to KonektOne fees, WhatsApp charges for messages sent through its platform, and we may pass these charges on to you at the rates applicable at the time.
- Fees are billed in advance for the period you choose, and applicable taxes, including GST, are added.
- Fees are non-refundable unless the law requires otherwise or we agree in writing.
- We may change our prices with reasonable advance notice. Changes apply from your next billing period.
8. Your content and data
You keep ownership of the contacts, messages, media and other content you upload or send through the Service (āYour Contentā). You give us a limited licence to host, process and transmit Your Content only as needed to provide and support the Service. You confirm that you have the rights and permissions needed to do so.
9. Our intellectual property
The Service, including its software, design, logos and documentation, belongs to KonektOne and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business. WhatsApp and Meta names and marks belong to their respective owners.
10. Third-party services
The Service may connect with third-party tools such as payment gateways, CRMs and automation apps. Those services have their own terms, and we are not responsible for them.
11. Availability and support
We work to keep the Service available and secure, but we do not promise it will always be uninterrupted or error-free. We may carry out maintenance or update features from time to time. Support is provided through the contact details on our website.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or end your access immediately if you breach these Terms, put our systems or other customers at risk, fail to pay fees when due, or if Meta or the law requires us to. On termination, your right to use the Service ends, and we may delete Your Content after a reasonable period unless the law requires us to keep it.
13. Disclaimers
The Service is provided āas isā and āas availableā. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not guarantee any level of message delivery, engagement or sales.
14. Limitation of liability
To the fullest extent permitted by law, KonektOne will not be liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the fees you paid to us in the twelve months before the event that gave rise to the claim.
15. Indemnity
You agree to defend and compensate KonektOne against claims, losses and expenses arising from Your Content, your messaging practices, or your breach of these Terms or applicable law.
16. Governing law and disputes
These Terms are governed by the laws of India. Subject to any mandatory rights you may have, the courts at Ahmedabad, Gujarat will have exclusive jurisdiction over any dispute arising from these Terms or the Service. We encourage you to contact us first so we can try to resolve any issue informally.
17. Changes to these terms
We may update these Terms from time to time. If a change is significant, we will notify you by email or through the Service. Continuing to use the Service after the change takes effect means you accept the updated Terms.
